Phoebe Davies

Consultant

I specialise in corporate and commercial law, advising on a broad range of matters across numerous industry sectors including agribusiness, consumer finance and technology. I regularly advise on matters relating to overseas investments, mergers and acquisitions, corporate structuring, employee share schemes, shareholders’ agreements, corporate governance, and commercial contracts.

My approach to assisting my clients is always to overlay a pragmatic and commercial lens to the technicalities of the law - be they start-up companies or large international corporates. I have supported a broad range of clients to grow their businesses through acquisitions, gaining external investors, setting up share schemes to reward staff and assisting them with day to day commercial contracting. I have experience with tech companies, some of which I have worked with from start up through to established trading phases. I also have a passion for the agri sector and bring a high level of corporate expertise along with the experience of being with farmers out on the farm.

Recent examples of work includes advising on:

  • Assisting a client in the healthcare sector to set up a high value complex joint venture structure with two other bodies.
  • Working with a start up client to establish their medical device and app business, with work ranging from the initial capital raise, royalty agreements, commercial contracts and setting up an employee share scheme.
  • Providing advice to a rental business to ensure compliance with the CCCFA and recent changes in legislation.
  • Working with a large New Zealand business and advising them on a range of corporate acquisitions and disposals to update their portfolio.
  • Supporting a client on a number of overseas investment office applications for the acquisition of sensitive land for kiwifruit orchards, apple orchards, cropping and dairy farms, along with exemption applications and variations to existing consents.

I have worked in international firms in both London and Birmingham in the United Kingdom and filled long term secondments within client organisations in the agri sector. I am qualified to practice law in both New Zealand and England & Wales.
