Privacy Law

As a privacy specialist, Louisa focuses on privacy protection and compliance, advising clients about the requirements of the Privacy Act 2020, privacy documentation and procedure, and how to respond to actual and suspected privacy breaches. Louisa is regularly engaged to advise clients facing a data incident or privacy breach, and has experience acting for both individuals whose privacy has been interfered with and agencies handling personal information who may not have met their privacy protection obligations. She has experience providing urgent advice as and when a breach is happening, and has acted in privacy-related proceedings in the Human Rights Review Tribunal.

Not-For-Profit & Incorporated Societies

As a Not-For-Profit specialist, Louisa works with a wide variety of not-for-profit organisations, advising about modernisation and restructuring, governance, voting procedures, and complex member rights disputes. Louisa has a detailed understanding of the Incorporated Societies Act 2022 and advises incorporated societies about the implications of that new legislation including carrying out constitution reviews and amendments in preparation for re-registration under the new legislation.

Corporate & Commercial

Louisa also advises clients on a broad range of commercial matters, including company law, entity creation and structuring, contracts, and governance.

Privacy Law
  • Providing expert and urgent advice to agencies experiencing privacy breaches.
  • Advising on the privacy implications and associated obligations of new technologies.
  • Advising on privacy impact assessments for the launch of new projects, including websites.
  • Preparing and advising on privacy documentation including privacy policies (consumer-facing and internal) and data incident response plan.
  • Assisting agencies with responding to access and correction requests made under the Privacy Act 2020.
  • Providing workplace training on privacy law compliance.
Not-For-Profit & Incorporated Societies
  • Leading clients through not-for-profit sector reform.
  • Providing expert guidance on the new Incorporated Societies Act 2022, including helping societies get ready for re-registration.
  • Reviewing and amending incorporated societies’ constitutions for compliance with the new Incorporated Societies Act 2022.
  • Establishing not-for-profit entities and advising on structure, including restructuring and joint venture-type arrangements.
  • Advising on complex not-for-profit governance matters, including member disputes and validity of decision making.
  • Advising not-for-profit entities on voting procedure, including attendance at general meetings to provide immediate advice on governance and process issues.
  • Acting for and advising not-for-profit entities as part of iwi post-settlement arrangements.
Corporate and Commercial
  • Advising on complex commercial contracts and agreements, including bespoke drafting.
  • Providing procedural and compliance advice to companies, in particular in relation to entity formation and structuring.
  • Advising in relation to company share arrangements, including share transfers, shareholders’ agreements, and shareholder rights.
  • Providing corporate governance advice, including director duties and management obligations, and the division of management and governance responsibilities.
  • Reviewing and advising on commercial leasing arrangements.
  • Advising in relation to commercial transactions.
  • Acting for and advising iwi through the Treaty settlement process in relation to commercial redress assets.
  • Acting for and advising Post-Settlement Governance Entities and related commercial entities.
